Management proxy circular. The document that management of a distributing corporation or a corporation with more than fifty shareholders incorporated under the CBCA must send to shareholders in connection with shareholder meetings. Its form is prescribed by regulation and includes general disclosure about the corporation as well as specific disclosure about the items of business to be dealt with at the meeting. Some corporations incorporated in other jurisdictions, including all public companies, are required to distribute management proxy circulars as well.
