Notwithstanding any other provision of this Agreement, to the extent that Indemnitee, by reason of Indemnitee's Corporate Status, is a witness, or receives a subpoena, in any Proceeding to which Indemnitee is not a party, Indemnitee shall be indemnified against all Expenses paid or incurred by Indemnitee in connection therewith and in the manner set forth in this Agreement.
