A state of emergency is a governmental declaration that announces that the country is in a state of emergency. This means that the government can suspend and/or change some functions of the executive, the legislative and or the judiciary during this period of time. It alerts citizens to change their normal behaviour and orders government agencies to implement emergency plans. A government can declare a state of emergency during a time of natural or man-made disaster, during a period of civil unrest, or following a declaration of war or situation of international/internal armed conflict. You certainly do not have to agree to change the completion date to suit your buyers, but if you do, it is very important you tell your solicitor so he can then vary the contract formally.
Ideally, your solicitor should prepare a supplemental agreement changing the completion date and your buyers should pay your solicitor's costs for drafting it. Both you and the buyers will need to sign the supplemental agreement.
(The Independent)The concept of party autonomy dates back to the early fifteenth century. The first to express the doctrine of party autonomy is considered to be a French scholar named Charles Dumolin, considered to be ‘the father of party autonomy’.
Dumolin advanced the idea that ‘those who enter into an agreement may stipulate the law that governs their bargain’; when it comes to the choice of law in international contracts, the parties have the freedom, not to restrict themselves to the confines of municipal law, can exclude themselves from rules that are mandatory in the international sense and may also exclude future changes in that law. Zhang Mo has expressed the present scenario as such, “As the party autonomy doctrine has developed, the boundaries have evolved into three major areas: The public policy exception, the mandatory rules mandate and the reasonable connection requirement.” (Party Autonomy in International Contracts: Why Limited Party Autonomy Is Better Than Unlimited Party Autonomy by Arun Ajay Shankar)
